Protek acquired a stake in the investment company that owns Aktivny Komponent

In February 2023, Anvilab, a subsidiary of AO Protek, became the owner of 19.6% of OOO Vega, a holding company that invested 1.2 billion rubles in AO Aktivny Komponent, Pharmaceutical Bulletin found out. In early February, Protek acquired Bion, a manufacturer of substances.

The list of the co-owners of OOO Vega changed on February 7, 2023, according to SPARK data. The company’s other owners, in addition to Anvilab, now include AO Aktivny Komponent (41%), Aleksandr Semenov (21.7%) and Zievuddin Khodjaev (17.7%). When asked about the matter by FV, Protec confirmed the minority stake acquisition. The amount of the transaction was not disclosed.

According to the audit report on the financial statement of OOO Vega for 2020, the main financial investment of the company was in Aktivny Komponent, in the amount of 1.2 billion rubles, made in 2018.

In 2017, Aktivny Komponent began to build a second plant for the production of pharmaceutical substances, with the construction estimated at 2 billion rubles. In 2018, Aktivny Komponent attracted an investor – Elbrus Capital Fund.

According to the statement of OOO Vega,  Setrules Investments Limited, which is a subsidiary of Elbrus, became a co-owner of Vega in 2018. The Cyprus company owned 41%, Aleksandr Semenov had 32.5% at that time, and Zievuddin Khodjaev – 26.5%. The partners contributed money to the company’s additional paid-in capital, with the largest amount invested by Setrules (1.1 billion rubles), while individual partners brought a total of 117.6 million rubles to the capital. Then the money was invested in Aktivny Komponent.

According to Elbrus Capital’s website, the investor has already withdrawn from the project. According to SPARK data, 41% in the capital was transferred to Aktivny Komponent, and the shares of Semenov (10.8%) and Khodzhaev (8.8%) were partially sold to Protek.

Aktivny Komponent owns two factories, and a new site will be launched in 2020. The production site in Metallostroy has a capacity of 80 tons, and the Pushkin-based site produces up to 250 tons per year. According to the company’s website, it produces 45 names of substances.
